Terms and Conditions of Sale and Use

Ashukan Institute · Effective August 24, 2026 · Version 2026-1

1. About These Terms and Conditions

These terms and conditions apply to the use of our website, the purchase of
our online courses, and all of our services.

These principles form the common foundation for all our business relationships. They do
not claim to cover every possibility: each engagement, quote, or specific agreement
supplements them as needed, depending on the context.

In the event of a conflict, the following order of precedence applies:

  1. the quote or the signed special agreement;
  2. the terms and conditions specified at the time of purchase;
  3. our specific policies (privacy, cancellation, refunds);
  4. these Terms and Conditions.

In other words: What is written in your quote or agreement takes
precedence over what is written here.

Applicable Version. We may modify these terms and conditions. For an online purchase at
, the applicable version is the one in effect at the time of purchase.
For a project based on a quote, it is the version in effect on the date the quote is signed at
. Changes do not apply retroactively to ongoing projects at
.

In this document, “we,” “our,” and “the Institute” refer to the
Ashukan Institute. “You” refers to the person or organization that uses our
website, purchases our training courses, or entrusts us with a project.

2. Who We Are and What We Offer

The Ashukan Institute offers training, conferences, and
professional services focused on Indigenous issues.

Our services include:

The specific terms and conditions for each type of assignment are outlined in the quote.

3. Use of the Website and Online Courses

Your account. You are responsible for the accuracy of the information
you provide and for keeping your login credentials confidential. Access is
personal and may not be shared.

Access Duration. Unless otherwise specified, access to a training course
purchased individually is not time-limited: you can
access it for as long as we continue to offer it. Group access
sold via a quote is valid for the duration specified in the quote.

Updates. You benefit from any corrections made to the training course
that you have purchased. A new edition or an expanded version may
be offered as a separate product.

If a course is removed. Our content addresses realities that
are constantly changing; we may occasionally remove a course that is no longer accurate
or is outdated. In such cases, Ashukan is committed to notifying you within a
reasonable timeframe so that you can complete your course and download
your certificate.

Quizzes and Certificates. Some courses include quizzes. A
once you have completed the course, you can download a certificate. This
certificate confirms your participation and successful completion of the quizzes; it does not
constitute a degree or professional certification.

For a course to count as recognized continuing education, it
must have been recognized by the relevant professional association. Several of our
courses have received such recognition. When this is the case, the association
and the number of recognized hours are listed on the course page and
on your certificate.

If your professional association is not listed here, you can submit
our training program to them for recognition. Write to us: we will
provide you with the information typically requested (training plan,
learning objectives, duration, instructor qualifications). The requirements
and timeframes vary from one association to another, and the decision is up to them.

Availability. We make reasonable efforts to keep the
platform accessible, but we cannot guarantee uninterrupted access.

4. Purchases, Prices, and Payment

Prices are in Canadian dollars and do not include applicable taxes.

Online purchases. Payment is due at the time of purchase.

Payment terms based on the estimate. Payment terms, deposits, and
the payment schedule are specified in the estimate. Unless otherwise stated, invoices
are payable within 30 days.

5. Cancellation and Refund

Online courses purchased individually. Because you have
immediate access to the content, these purchases are non-refundable. If you experience
a technical issue or if the content does not match its description,
please contact us: we will find a solution.

Orders based on quotes. Cancellation terms are specified in the quote.
Generally, a deposit paid upon signing confirms the reservation of
dates and resources; it is non-refundable if cancellation
occurs on short notice, and hours already committed remain billable.

Force Majeure. Neither party shall be liable for any
breach caused by an event beyond its control. In such cases, we agree
to prioritize postponing the event or adjusting its format.

6. Intellectual Property

All of our content, including training courses, short videos, workbooks,
presentations, reports, tools, and templates, remains the property of
the Ashukan Institute.

Your purchase or subscription grants you a license to use
for personal or internal, non-exclusive, and non-transferable purposes. The following are specifically
prohibited without our written consent:

Custom Deliverables. When we produce a deliverable for you,
you obtain the right to use it for your internal needs. We
retain ownership of our methods, templates, structures, and
know-how, as well as the right to reuse them. Any transfer of rights
or exclusivity is subject to a separate agreement and its own pricing
terms.

Recording and Right of Publicity. When a contract includes
the recording of our trainers, the terms of use for their
image and voice—including duration, geographic scope, and media—are
specified in the quote. No use beyond what is provided for therein is
authorized.

7. Indigenous Knowledge and Cultural Protocols

Our content may include knowledge, stories, and realities
that belong to the First Peoples. Some of this content is shared
within a specific context and may not be reproduced, excerpted, or reused
outside of that context.

By using our content, you agree to respect its integrity,
not to take it out of context, and not to claim authorship of it.

When a project involves specific knowledge, communities, or
territories, cultural protocols may apply. We
will inform you of these, and these protocols are an integral part of the project.

8. Our Commitments and Their Limits

We bring our expertise and experience to every
assignment.

Our training programs and services are intended for informational and educational purposes.
They do not constitute legal, accounting, or financial advice, and no
specific results are guaranteed. You remain responsible for the decisions
you make and for their implementation.

Our liability, regardless of the cause, is limited to the amount
that you actually paid us for the service in question. We
are not liable for indirect damages, including loss of
profits, customers, or data.

Nothing in these terms and conditions is intended to exclude any liability that cannot
be excluded under the law.

9. Confidentiality and Personal Information

We process your personal information in accordance with our
Privacy Policy and applicable law.

Each party agrees to maintain the confidentiality of non-
public information obtained in connection with an engagement.

When a project includes a survey of participants, the responses
are anonymous. The results are presented in aggregate form, and no
results are broken down by groups of fewer than five respondents.

10. Communications and Acknowledgments of Our Collaborations

We may list our projects in our portfolio, on our website
, and in our client testimonials, naming the client and describing the general
nature of the project, without disclosing any confidential information.

Any joint publication, reciprocal use of trademarks, and any
visibility agreement are subject to the terms specified in the proposal.

Either party may, upon written notice, request that the other party cease any
further use of its name and logo.

11. Third-Party Content and Websites

Our website may link to external resources. We do not control
their content and assume no responsibility for it.

12. End of Access

We may suspend or revoke access in the event of
shared login credentials, unauthorized reproduction of our content, or
non-payment, without refund and without prejudice to our other remedies.

13. Governing Law

These terms and conditions are governed by the laws of Quebec. The
courts of the judicial district of Quebec have exclusive jurisdiction, subject
to the rights granted to consumers by law.
